LEASE OF EQUIPMENT: Compact hereby leases to Lessee, and Lessee hereby leases and hires from Compact the Equipment all as more particularly described above. Lessee, at its own expense, shall operate and use the Equipment. LESSEE IS RESPONSIBLE FOR ENSURING COMPLIANCE BY IT AND ITS EMPLOYEES AND SUBCONTRACTORS WITH ALL APPLICABLE LAWS, REGULATIONS AND ORDINANCES, INCLUDING, WITHOUT LIMITATION, THE OCCUPATIONAL SAFETY AND HEALTH ACT OF 1970 ("OSHA"), REGULATIONS (PARTICULARLY 29 C.F.R. 1926 SUBPART CC AND CURRENT ASME B30.3, B30.29, AND A17.1 STANDARDS, AS APPLICABLE). Lessee agrees that Compact shall have no responsibility of any kind for Lessee's compliance with any such laws, regulations, or ordinances during the periods when the Equipment is in possession of Lessee or its subcontractors.

The lease term shall begin upon the initial shipment of the Equipment from designated delivery yard to Lessee, but not later than the 2 weeks after Delivery Date noted above unless otherwise explicitly agreed upon in writing by both parties. The lease term shall end when the Equipment is returned to Compact's Yard. The Equipment and Services provided by Compact, are set forth in Compact's Quotation, the terms and conditions of which, are incorporated by reference as if set forth in full herein and attached as Addendum "A". Lessee hereby accepts and acknowledges those terms and conditions in their entirety.

THIS AGREEMENT IS SUBJECT TO THE TERMS AND CONDITIONS SET FORTH HEREIN AND ATTACHED HERETO. LESSEE IS PLACED ON GENERAL NOTICE THAT THESE TERMS AND CONDITIONS CONTAIN INDEMNIFICATION PROVISIONS THAT MAY REQUIRE LESSEE TO INDEMNIFY OTHERS, INCLUDING LESSOR FOR ITS NEGLIGENCE, AS DESCRIBED HEREIN; WAIVE ALL JURY TRIALS; AND ELIMINATE CERTAIN WARRANTIES
